Purpose

​

The purpose of these General Terms and Conditions of Service (GTCS) is to define the terms and conditions under which BlockAchain Integration, agency affiliated with Merikare, provides consulting services to its clients, as well as the rights and obligations of each party within the framework of this contractual relationship.

Description of Services

​

BlockAchain Integration, agency affiliated with Merikare, offers consulting services in business strategy, finance, blockchain, and artificial intelligence. The nature, duration, and objectives of the services are defined in the contract signed with the client, including assignments such as analysis, audits, strategic support, and training. If a contract signature is not required, the client tacitly accepts the terms of the exchange upon receiving the terms and conditions by email during the initial contacts.

Service Provider Commitments

BlockAchain Integration, agency affiliated with Merikare, commits to providing the specified services with professionalism, diligence, and in compliance with the best practices of its sector. The service provider guarantees the confidentiality of all information provided by the client as part of the assignment unless its disclosure is legally required.

Client Obligations

​

The client agrees to provide all necessary and relevant information for the proper execution of the consulting services. The client also commits to actively collaborating with BlockAchain Integration, agency affiliated with Merikare, to facilitate the achievement of the objectives and to respect the defined payment deadlines.

​

Financial Terms

​

The fees for services provided by BlockAchain Integration, an agency affiliated with Merikare, are determined based on the nature and duration of the assignment. Payment terms, deadlines, and any additional fees are specified in the contract signed with the client.

Late payment penalties may be applied in the event of non-compliance with payment deadlines, calculated according to the prevailing legal rate.

No refunds once payment has been processed for punctual services.

Duration and Contract Termination

​

The duration of the service is specified in the contract or via email. Each party may terminate the contract with a 24-hour notice period. In the event of early termination by the client without legitimate reason, BlockAchain Integration, agency affiliated with Merikare, reserves the right to charge for all services already rendered.

Liability

​

The liability of BlockAchain Integration, agency affiliated with Merikare, is limited to direct damages proven by the client resulting from a fault in the execution of the services. Under no circumstances shall BlockAchain Integration, agency affiliated with Merikare, be held responsible for indirect or unforeseen damages, nor for decisions made by the client based on the advice provided.

Intellectual Property

​

Reports, studies, documents, and deliverables produced by BlockAchain Integration, agency affiliated with Merikare, as part of the assignment remain the exclusive property of the company unless otherwise stipulated in the contract. Any reproduction, distribution, or use of these documents without prior authorization is prohibited.

Confidentiality

​

Both parties agree to maintain the confidentiality of all information exchanged as part of the service execution. This confidentiality obligation extends beyond the termination of the contract.

Dispute Resolution

​

In the event of a dispute concerning the execution or interpretation of these GTCS, the parties agree to seek an amicable solution before resorting to the competent courts. Failing an amicable resolution, the dispute will be referred to the competent courts of the headquarters of BlockAchain Integration, agency affiliated with Merikare.

Amendments to the GTCS

​

BlockAchain Integration, agency affiliated with Merikare, reserves the right to modify these GTCS. The applicable GTCS are those in force on the date the contract is signed by the client.
